374 reproduce, prepare derivative works of, publicly display, publicly
375 perform, distribute and sublicense the Contribution of such Contributor,
376 if any, and such derivative works, in source code and object code form.

378 b) Subject to the terms of this Agreement, each Contributor hereby grants
379 Recipient a non-exclusive, worldwide, royalty-free patent license under
380 Licensed Patents to make, use, sell, offer to sell, import and otherwise
381 transfer the Contribution of such Contributor, if any, in source code
382 and object code form. This patent license shall apply to the combination
383 of the Contribution and the Program if, at the time the Contribution is
384 added by the Contributor, such addition of the Contribution causes such
385 combination to be covered by the Licensed Patents. The patent license
386 shall not apply to any other combinations which include the
387 Contribution. No hardware per se is licensed hereunder.

389 c) Recipient understands that although each Contributor grants the licenses
390 to its Contributions set forth herein, no assurances are provided by any
391 Contributor that the Program does not infringe the patent or other
392 intellectual property rights of any other entity. Each Contributor
393 disclaims any liability to Recipient for claims brought by any other
394 entity based on infringement of intellectual property rights or
395 otherwise. As a condition to exercising the rights and licenses granted
396 hereunder, each Recipient hereby assumes sole responsibility to secure
397 any other intellectual property rights needed, if any. For example, if
398 a third party patent license is required to allow Recipient to
399 distribute the Program, it is Recipient's responsibility to acquire that
400 license before distributing the Program.

402 d) Each Contributor represents that to its knowledge it has sufficient
403 copyright rights in its Contribution, if any, to grant the copyright

406 3. REQUIREMENTS

408 A Contributor may choose to distribute the Program in object code form
409 under its own license agreement, provided that:

411 a) it complies with the terms and conditions of this Agreement; and

413 b) its license agreement:

415 i) effectively disclaims on behalf of all Contributors all warranties
416 and conditions, express and implied, including warranties or
417 conditions of title and non-infringement, and implied warranties or
418 conditions of merchantability and fitness for a particular purpose;

420 ii) effectively excludes on behalf of all Contributors all liability for
421 damages, including direct, indirect, special, incidental and
422 consequential damages, such as lost profits;

424 iii) states that any provisions which differ from this Agreement are
425 offered by that Contributor alone and not by any other party; and

427 iv) states that source code for the Program is available from such
428 Contributor, and informs licensees how to obtain it in a reasonable
429 manner on or through a medium customarily used for software
430 exchange.

432 When the Program is made available in source code form:

434 a) it must be made available under this Agreement; and
435
436 b) a copy of this Agreement must be included with each copy of the Program.

438 Contributors may not remove or alter any copyright notices contained within
439 the Program.

441 Each Contributor must identify itself as the originator of its
442 Contribution, if any, in a manner that reasonably allows subsequent
443 Recipients to identify the originator of the Contribution.

445 4. COMMERCIAL DISTRIBUTION

447 Commercial distributors of software may accept certain responsibilities
448 with respect to end users, business partners and the like. While this
449 license is intended to facilitate the commercial use of the Program, the
450 Contributor who includes the Program in a commercial product offering
451 should do so in a manner which does not create potential liability for
452 other Contributors. Therefore, if a Contributor includes the Program in
453 a commercial product offering, such Contributor ("Commercial Contributor")
454 hereby agrees to defend and indemnify every other Contributor ("Indemnified
455 Contributor") against any losses, damages and costs (collectively "Losses")
456 arising from claims, lawsuits and other legal actions brought by a third
457 party against the Indemnified Contributor to the extent caused by the acts
458 or omissions of such Commercial Contributor in connection with its
459 distribution of the Program in a commercial product offering. The
460 obligations in this section do not apply to any claims or Losses relating

462 qualify, an Indemnified Contributor must: a) promptly notify the Commercial
463 Contributor in writing of such claim, and b) allow the Commercial
464 Contributor to control, and cooperate with the Commercial Contributor in,
465 the defense and any related settlement negotiations. The Indemnified
466 Contributor may participate in any such claim at its own expense.

468 For example, a Contributor might include the Program in a commercial
469 product offering, Product X. That Contributor is then a Commercial
470 Contributor. If that Commercial Contributor then makes performance claims,
471 or offers warranties related to Product X, those performance claims and
472 warranties are such Commercial Contributor's responsibility alone. Under
473 this section, the Commercial Contributor would have to defend claims
474 against the other Contributors related to those performance claims and
475 warranties, and if a court requires any other Contributor to pay any
476 damages as a result, the Commercial Contributor must pay those damages.

478 5. NO WARRANTY

480 EXCEPT AS EXPRESSLY SET FORTH IN THIS AGREEMENT, THE PROGRAM IS PROVIDED
481 ON AN "AS IS" BASIS, WITHOUT WARRANTIES OR CONDITIONS OF ANY KIND, EITHER
482 EXPRESS OR IMPLIED INCLUDING, WITHOUT LIMITATION, ANY WARRANTIES OR
483 CONDITIONS OF TITLE, NON-INFRINGEMENT, MERCHANTABILITY OR FITNESS FOR A
484 PARTICULAR PURPOSE. Each Recipient is solely responsible for determining
485 the appropriateness of using and distributing the Program and assumes all
486 risks associated with its exercise of rights under this Agreement,
487 including but not limited to the risks and costs of program errors,
488 compliance with applicable laws, damage to or loss of data, programs or
489 equipment, and unavailability or interruption of operations.

495 SPECIAL, EXEMPLARY, OR CONSEQUENTIAL DAMAGES (INCLUDING WITHOUT LIMITATION
496 LOST PROFITS), HOWEVER CAUSED AND ON ANY THEORY OF LIABILITY, WHETHER IN
497 CONTRACT, STRICT LIABILITY, OR TORT (INCLUDING NEGLIGENCE OR OTHERWISE)
498 ARISING IN ANY WAY OUT OF THE USE OR DISTRIBUTION OF THE PROGRAM OR THE
499 EXERCISE OF ANY RIGHTS GRANTED HEREUNDER, EVEN IF ADVISED OF THE

502 7. GENERAL

504 If any provision of this Agreement is invalid or unenforceable under
505 applicable law, it shall not affect the validity or enforceability of the
506 remainder of the terms of this Agreement, and without further action by
507 the parties hereto, such provision shall be reformed to the minimum extent
508 necessary to make such provision valid and enforceable.

510 If Recipient institutes patent litigation against a Contributor with
511 respect to a patent applicable to software (including a cross-claim or
512 counterclaim in a lawsuit), then any patent licenses granted by that
513 Contributor to such Recipient under this Agreement shall terminate as of
514 the date such litigation is filed. In addition, if Recipient institutes
515 patent litigation against any entity (including a cross-claim or
516 counterclaim in a lawsuit) alleging that the Program itself (excluding
517 combinations of the Program with other software or hardware) infringes
518 such Recipient's patent(s), then such Recipient's rights granted under
519 Section 2(b) shall terminate as of the date such litigation is filed.

521 All Recipient's rights under this Agreement shall terminate if it fails
522 to comply with any of the material terms or conditions of this Agreement
523 and does not cure such failure in a reasonable period of time after
524 becoming aware of such noncompliance. If all Recipient's rights under this
525 Agreement terminate, Recipient agrees to cease use and distribution of the
526 Program as soon as reasonably practicable. However, Recipient's obligations
527 under this Agreement and any licenses granted by Recipient relating to the
528 Program shall continue and survive.

530 Everyone is permitted to copy and distribute copies of this Agreement, but
531 in order to avoid inconsistency the Agreement is copyrighted and may only
532 be modified in the following manner. The Agreement Steward reserves the
533 right to publish new versions (including revisions) of this Agreement from
534 time to time. No one other than the Agreement Steward has the right to
535 modify this Agreement. IBM is the initial Agreement Steward. IBM may assign
536 the responsibility to serve as the Agreement Steward to a suitable separate
537 entity. Each new version of the Agreement will be given a distinguishing
538 version number. The Program (including Contributions) may always be
539 distributed subject to the version of the Agreement under which it was
540 received. In addition, after a new version of the Agreement is published,
541 Contributor may elect to distribute the Program (including its
542 Contributions) under the new version. Except as expressly stated in
543 Sections 2(a) and 2(b) above, Recipient receives no rights or licenses to
544 the intellectual property of any Contributor under this Agreement, whether
545 expressly, by implication, estoppel or otherwise. All rights in the Program
546 not expressly granted under this Agreement are reserved.

548 This Agreement is governed by the laws of the State of New York and the
549 intellectual property laws of the United States of America. No party to
550 this Agreement will bring a legal action under this Agreement more than
551 one year after the cause of action arose. Each party waives its rights to
552 a jury trial in any resulting litigation.
