<p><font face="arial">Mr. Holden is the Chief
Executive Officer of Kesmai Corporation, based in
Charlottesville, VA. Kesmai Corp. is the parent
company for ARIES Online Games, a leading
technology company and publisher of online
multiplayer games; Kesmai Studios, a developer of
large-scale online games; and </font><a
href="http://www.gamestorm.com" target="_blank"><font
face="arial">GameStorm</font></a><font
face="arial">, a retail multiplayer games service
on the World Wide Web. Kesmai is a News
Corporation company. Mr. Holden has been with
News Corporation since 1990. Prior to joining
Kesmai, Mr. Holden was Vice President for
Advanced Media at HarperCollins Publishers in New
York. He has served on a variety of technology
task forces and committees for News Corporation.
Prior to joining News Corporation, Mr. Holden
managed an advertising agency and a television
production company. He has written, produced and
directed over 300 news and feature segments for
TV, video news releases and corporate videos. </font></p>

<p><font face="arial">Beth Polish was until
recently the Managing Director of the New Media
Group at </font><a

face="arial">WIT Capital</font></a><font
face="arial">. In her role as strategic advisor
to Zero-G Commerce, Ms. Polish brings her
experience to both established and emerging
companies and provides strategic and financial
advisory services including strategic planning,
assistance with fundraising and general business
advice. Before moving to WIT Capital, Ms. Polish
was Managing Director at KPMG, and prior to that,
Ms. Polish served as the CFO and SVP of Corporate
Development for </font><a
href="http://www.ivillage.com/" target="_blank"><font
face="arial">iVillage, Inc.</font></a><font
face="arial">, where she raised $11 million in
its first round of financing from America Online,
Kleiner Perkins Caufield &amp; Byers, TCI and the
Tribune Company. Beth was also a VP at Bannon
&amp; Co., a media and communications investment
bank. Ms. Polish received an MBA from </font><a
href="http://www.hbs.edu" target="_blank"><font

<p><font face="arial">Mr. Cohen is the President
and Co-Founder of iballs Internet Media Planning
and Buying. The company was founded in May 1997
to service the rapidly growing but under serviced
segment of the advertising market. Iballs
philosophy that the Internet is a direct
marketing medium has led to their working for
companies such as Alloy Online, BigStar
Entertainment, Bose, CMP Media, DLJ Direct,
Earthweb, J.Crew, Kesmai's Gamestorm, N2K/Music
Boulevard, Netscape Comunciations, Polycom, The
Princeton Review, Uproar, and others. Mr. Cohen
is responsible for iballs' daily operations,
overseeing business development, marketing &amp;
publicity, media planning, ad buying, strategic
development, and creative campaign management.
Prior to iballs, Mr. Cohen managed the Internet
media planning and buying efforts for The Station
@Sony.com at Kirshenbaum, Bond &amp; Partners and
served as a new media business consultant working
with Random House New Media, dotcom gallery,
Sixth Gear Interactive Business Solutions, and
SiteSpecific. Michael earned an MBA from Columbia
Business School in Marketing and Media Management
and a B.A. in English from Tufts University. </font></p>
<p><font size="4" face="arial">Jonathan E. Kahn</font><br>
<font face="arial">Attorney, Cahill Gordon &amp;
Reindel </font></p>
<p><font face="arial">Mr. Kahn is an attorney
with Cahill Gordon &amp; Reindel, New York, New
York, specializing in corporate and securities
law. Prior to joining Cahill, Mr. Kahn was a full
time associate at the law firm of Fried, Frank,
Harris, Shriver &amp; Jacobson from August 1990
to June 1994. Mr. Kahn received a JD from
Georgetown University Law Center and a BA in
history from Emory University. </font></p>

unit where he expanded its strategic
relationships and added Internet commerce
functionality to the product line before managing
its sale to The Learning Company. Prior to that,
Mr. Ryan was Vice President of Business
Development for SegaSoft where his team was
responsible for electronic commerce,
international sales, licensing and overall
strategy, particularly SegaSoft's move into
broadband relationships, such as its deal with
@Home. Prior to joining SegaSoft, Mr. Ryan
consulted for Sony Retail on its San Francisco
Metreon project and worked as a product manager
for General Magic, both during business school.
In addition, Mr. Ryan spent two years in
commercial banking at Chemical Bank and later, 2
years in finance and strategy at the GAP, helping
to launch the successful Old Navy Clothing
format. Mr. Ryan holds an MBA from UCLA's
Anderson Graduate School of Management and a
Bachelor of Arts from Columbia University. </font></p>
