Committee Charge

The Membership & Finance Committee is charged with managing matters related to DCMI’s revenues, expenditures and the DCMI Membership program including the development of programs to enhance DCMI's membership capacity.

Membership

  1. DCMI Governing Board officers, Chair-Elect and Chair, are automatically appointed members of the DCMI Membership & Finance Committee (M&FC)
  2. The balance of the roster of the Committee shall be Governing Board members appointed by the Governing Board Chair
  3. The Committee shall have a minimum of five members including the Chair and Vice-Chair

Officers

  1. The Governing Board Chair-Elect shall serve as Chair of the Committee
  2. The Governing Board Chair shall serve as Vice-Chair of the Committee

Appointment

  1. The terms of the officers are coterminous with their service in the corresponding officer positions on the Governing Board
  2. Non-officer Members of the Committee serve from the time of appointment by the Governing Board Chair to the close of the following Annual Meeting of the Governing Board, or the Member's departure from the Governing Board, whichever comes first.
  3. The Governing Board Chair -- with consideration for the preference of the Member as to which Governing Board Standing Committee the Member wishes to serve on -- may reappoint Non-officer Member(s) or reassign the Member(s) to another Standing Committee

Scope and Coordination

The Membership & Finance Committee is charged to:

  1. Review, assess, and make recommendations on matters related to DCMI’s budget, expenditures, revenue-related and fundraising activities
  2. Oversee DCMI's Individual and Organization Membership program

Consultation:

  • As appropriate, the Committee will provide and/or seek input from other committees and units of DCMI

Work

Note: Final authority for the approval of budgets, expenditures, revenue, and other financial transactions rest with the Governing Board, but the Committee is intended to be the Boards' "eyes and ears" on DCMI finance-related matters. The Committee is tasked to provide a close reading of finance-related issues so that the Committee may assure that DCMI's financial opportunities and obligations are addressed in a responsible and well-vetted manner

Specific issues which the Committee is charged to address:

DCMI Annual Budget and ongoing financial picture:

  • The Directorate will prepare, and the Committee will review the DCMI Annual Budget and Revenue Plan. The Committee may make recommendations to the Directorate and/or the Governing Board as part of the annual budget approval process
  • The Directorate will make periodic financial reports to the Committee so that the Committee will have a clear and current picture of DCMI's financial health
  • Approval authority for the DCMI Annual Budget and Revenue Plan shall rest with the Governing Board

Special budget items:

  • Minor unbudgeted items (i.e. not budgeted in the approved annual budget and less than $5,000 USD) may be considered and approved by the Committee if adequate uncommitted funds are on hand and do not require approval by the full Governing Board.
  • Major unbudgeted (i.e. not budgeted in the approved annual budget and exceeding $5,000 USD) expenditures or requests for special funding will be vetted by Committee, and the Committee will provide a disposition to the Governing Board based on its review of each request.
  • Approval authority for special expenditures ultimately shall rest with the Governing Board.

DCMI events and workshops:

  • If an event's budget is less than $10,000 USD, the budget and fee-scale may be reviewed and approved by the Executive Committee
  • If an event's budget is greater than $10,000 USD , the budget and fee-scale shall be vetted by the Committee and referred to the Governing Board for disposition. (Exception: the International Conference on Dublin Core and Metadata Applications and DCMI Annual Meeting)

International Conference on Dublin Core and Metadata Applications:

  • Preliminary approval authority for the International Conference on Dublin Core and Metadata Applications Budget and Revenue Plan shall rest with the Executive Committee, and the Executive Committee shall be empowered to direct and approve negotiations by the Directorate on behalf of DCMI for matters related to the event.
  • The Membership & Finance Committee will be provided the opportunity to review and provide feedback on the financials (including expected revenue, expenditures, fee-scales, grants, and sponsorships) for the International Conference on Dublin Core and Metadata Applications. When the International Conference on Dublin Core and Metadata Applications Budget and Revenue Plan have been finalized, the Committee shall review, recommend a disposition, and refer to the Governing Board for final action.
  • Final approval authority for the International Conference on Dublin Core and Metadata Applications Budget and Revenue Plan shall rest with the Governing Board.

DCMI Annual Meeting:

  • Preliminary approval authority for the DCMI Annual Meeting arrangements shall rest with the Executive Committee, and the Executive Committee shall be empowered to direct and approve negotiations by the Directorate on behalf of DCMI for matters related to the event.
  • The Membership & Finance Committee will be provided the opportunity to review and provide feedback on the financials (including expected expenditures, and -- if applicable -- revenue) for the DCMI Annual Meeting. When the DCMI Annual Meeting Budget has been finalized, the Committee shall review, recommend a disposition, and refer to the Governing Board for final action.
  • Final approval authority for the DCMI Annual Meeting shall rest with the Governing Board.
Note: If desired the DCMI Annual Meeting Budget and the International Conference on Dublin Core and Metadata Applications Budget and Revenue Plan may be consolidated into a single document and the two events treated as a whole for the purposes of review and approval.

DCMI Membership Program:

  • The DCMI Membership Program shall be periodically reviewed by the Committee
  • Recommendations for modifications to the Program will be made as needed.
  • The Governing Board must approve all substantive changes to the Membership Program

Other matters:

  • For other matters under its purview, the Committee shall advise and make recommendations to the Governing Board and/or other DCMI units as appropriate to the particular matter
  • The Governing Board may direct the Committee to take on work items (e.g., studies) on matters related to DCMI’s revenues, expenditures and the DCMI Membership program

Task Forces


Special Circumstances

  • Urgent Financial Decisions: In the event a matter customarily referred to the Committee for review proves impractical to refer because of pressing time constraints, the Committee's review may be suspended. The authority to make this decision rests with the Committee Chair and Vice-Chair. The Committee will be informed of the matter as soon as is practical and presented the rationale for suspending the Committee's review.

Reporting

  • Reporting: The DCMI Membership & Finance Committee reports to the DCMI Governing Board in a manner set out in the Board Policies & Procedures.
