- <p>Please read these Terms of Use (“Agreement” or the “Terms of Use”) carefully before using the Services offered by Social Teeth, FPC (“Social Teeth” or the “Company”).</p>

- <h3>Rules and Conduct</h3>
- <p>You shall abide by all applicable local, state, national, and international laws and regulations. You may not engage in advertising to, or solicitation of, any User, Backer, or Client to buy or sell any products or services through the Site.</p>
- <p>You agree that the Service contains Content provided by the Company and its partners and Users and that the Content may be protected by copyrights, trademarks, service marks, patents, trade secrets, or other rights and laws. You shall abide by and maintain all copyright and other legal notices, information, and restrictions contained in any Content accessed through the Service.</p>
- <p>You shall not (and shall not permit any third party to) either (a) take any action or (b) upload, download, post, submit or otherwise distribute or facilitate distribution of any content on or through the Service, including without limitation any User Submission, that:<p>

- <li>contains software viruses or any other computer codes, files, or programs that are designed or intended to disrupt, damage, limit, or interfere with the proper function of any software, hardware, or telecommunications equipment or to damage or obtain unauthorized access to any system, data, password, or other information of the Company or any third party; or</li>
- <li>impersonates any person or entity, including any employee or representative of the Company.</li>

- <p>Additionally, you shall not: (i) take any action that imposes or may impose (as determined by the Company in its sole discretion) an unreasonable or disproportionately large load on the Company’s or its third-party providers’ infrastructure; (ii) interfere or attempt to interfere with the proper working of the Service or any activities conducted on the Service; (iii) bypass any measures the Company may use to prevent or restrict access to the Service (or other accounts, computer systems, or networks connected to the Service); (iv) run Maillist, Listserv, or any form of auto-responder or "spam" on the Service; or (v) use manual or automated software, devices, or other processes to "crawl" or "spider" any page of the Site.</p>
- <p>You shall not directly or indirectly: (i) decipher, decompile, disassemble, reverse engineer, or otherwise attempt to derive any source code or underlying ideas or algorithms of any part of the Service, except to the limited extent applicable laws specifically prohibit such restriction; (ii) modify, translate, or otherwise create derivative works of any part of the Service; or (iii) copy, rent, lease, distribute, or otherwise transfer any of the rights that you receive hereunder.</p>
- <h3>Use of Site</h3>
- <h4>I. Registration</h4>
- <p>You may browse the Site and view Content without registering, but as a condition of using certain aspects of the Service, you may be required to register with the Company and select a password and user identification or screen name ("User ID"). You shall provide accurate, complete, and updated registration information.</p>
- <p>Failure to do so shall constitute a breach of the Terms of Use, which may result in immediate termination of your account. You shall not select or use a User ID, domain name, or project name: (i) that is the name of another person, with the intent to impersonate that person; (ii) that is subject to any rights of another person, without appropriate authorization; or (iii) that is otherwise offensive, vulgar, or obscene.</p>
- <p>The Company reserves the right to refuse registration of, or cancel a User ID in its sole discretion. You are solely responsible for activity that occurs on your account and shall be responsible for maintaining the confidentiality of your password for the Site. You shall never use another User account without such User’s express permission. You will immediately notify the Company in writing of any unauthorized use of your account, or other known account-related security breach.</p>
- <p>By registering on Social Teeth, you agree we can collect your name and email address. Also, when you register, you are opting in to periodic updates emails from Social Teeth. You may opt-out of these emails at any time. The option to unsubscribe is included in each email.</p>
- <p>User acknowledges, consents and agrees that Social Teeth may, at its sole discretion and to the extent permitted by law, access, read, preserve and disclose your account information, usage history, and submitted Content to third parties in compliance with our Privacy Policy.</p>
- <h4>II. Fundraising Campaigns for Advertising Campaigns</h4>
- <p>Social Teeth allows Users to choose active advertisement campaigns (“Campaign”) approved by Clients. Users who choose to financially support a campaign (“Backer”) will complete the transaction pledge via Stripe.</p>
- By submitting Content and/or backing a Campaign, you agree to be bound by this entire Agreement, including the following terms:</p>
- <ul>
- <li>Backers agree to provide their payment information when they contribute to a Campaign.</li>
- <li>Backers consent to Social Teeth and its payment partners authorizing, reserving and charging a charge on their payment card or other payment method for any amount up to the full pledge at any time between the pledge and the collection of funds.</li>
- <li>Backers agree to have sufficient funds or credit available when they contribute to a Campaign.</li>
- <li>Backers may request a refund at any time during the fundraising Campaign, before the expiration date provided on the campaign, except that they may not cancel their pledge if the campaign is within is final 24 hours and the cancellation would drop the campaign below its goal. If a Backer chooses to request a refund, they will be refunded the amount of their contribution minus a 2.9% fee charged by Stripe.</li>
- <li>For all Campaigns, Social Teeth gives the Client each Backer’s User ID and contribution amount. For successful Campaigns, Social Teeth additionally gives to the Client each Backer’s name and email.</li>
- <li>Social Teeth will not issue refunds for contributions that have been collected for Campaigns that have successfully reached their fundraising goals.</li>
- <li>Clients or Social Teeth may cancel a Campaign at any time or for any reason, and if they do so, Social Teeth will refund each Backer the amount of their contribution, minus 2.9%.</li>
- <li>Because of occasional failures of payments from Backers, Social Teeth cannot guarantee the full receipt of the amount pledged minus fees.</li>
- <li>Social Teeth reserves the right to cancel or refund a contribution at any time for any reason.</li>

- <p>Social Teeth will notify Backers by email when a Campaign has been fully funded. If a Campaign is not funded by the expiration date provided on the campaign, Backers will be refunded the amount of their contribution minus the 2.9% fee that Stripe takes with every transaction that goes through Social Teeth. Social Teeth is currently working on a solution where it can refund 100% of the pledged contribution or not charge the Backer for Campaigns that do not meet their fundraising goals.</p>
- <p>Social Teeth shall not be liable for any interactions with any Client found on or through the Service. This includes, but is not limited to, delivery of goods and services, and any other terms, conditions, warranties or representations associated with the listings on the Site. Social Teeth does not oversee the performance or punctuality of projects. Social Teeth is not responsible for any damage or loss incurred as a result of any such dealings. All dealings are solely between you and such Clients and/or individuals. Social Teeth is under no obligation to become involved in disputes between Users and any third party. Social Teeth does not endorse any User Submissions. In the event of a dispute, you release, indemnify, and hold harmless Social Teeth, its officers, employees, agents and successors in rights from claims, lawsuits, litigation, damages and demands of every kind, known or unknown, suspected or unsuspected, disclosed or undisclosed, arising out of or in any way related to such disputes and the Service.</p>
- <h4>III. Fees and Payments</h4>
- <p>Joining Social Teeth is free. However, we may charge fees for certain services. When you use a service that has a fee you have an opportunity to review and accept the fees that you will be charged. Changes to fees are effective after we provide you with notice by posting the changes on the Site. We may choose to temporarily change the fees for our services for promotional events or new services, and such changes are effective when we post the temporary promotional event or new service on the Website. You are responsible for paying all fees and taxes associated with your use of the Service. Funds pledged by Backers are collected by Stripe. Social Teeth is not responsible for the performance of Stripe.</p>
- <p>Unless otherwise stated, all fees are quoted in U.S. Dollars. Backers are responsible for paying all fees and applicable taxes associated with your use of the site. In the event a listing is removed from the Service for violating the Terms of Use, all fees paid will be non-refundable, unless in its sole discretion Social Teeth determines that a refund is appropriate.</p>
- <h4>IV. Right to Terminate or Suspend Campaigns</h4>
- <p>Social Teeth reserves the right to reject, cancel, interrupt, remove, or suspend a campaign at any time due to intellectual property infringement, problems with providers of advertising space, or other reasons in the sole discretion of Social Teeth.</p>
- <h4>V. Right to Modify Creative Works</h4>
- <p>Social Teeth will have the right, with consent from the Client, to modify the advertisement by including the Social Teeth logo and/or a Social Teeth video introduction, as well as any other changes that are necessary to adapt the creative work for display in a particular form of advertising.</p>
- <h3>Intellectual Property of Users</h3>
- <p>By Submitting User Submissions and posting any messages or other information on the Site or otherwise through the Service, you agree to the following terms:</p>
- <ul>
- <li>Social Teeth will not have any ownership rights over your User Submissions. For content that is covered by intellectual property rights, like photos and videos (IP content), you specifically give us the following permission: you grant us a non-exclusive, transferable, sub-licensable, royalty-free, worldwide license to use User Submission. This IP License ends when you delete your IP content or your account unless your content has been shared with others, and they have not deleted it.</li>
- <li>You grant other Users permission to share your User Submission on social media networks and personal blogs, as long as they attribute the work to you.</li>
- <li>When you delete IP content, it is deleted in a manner similar to emptying the recycle bin on a computer. However, you understand that removed content may persist in backup copies for a reasonable period of time.</li>
- <li>To the extent you upload or post any photographs of yourself on the Website, you agree that such materials shall be considered Content for the purposes of the foregoing paragraph, and you agree to release, discharge and agree to hold harmless Social Teeth from any and all claims or liability, whether known or unknown, including any and all claims in connection with the publication, production, processing, distribution or exploitation of such materials, including any claims of infringement of any rights of publicity or rights of privacy.</li>
- <li>The foregoing license grant to the Company does not affect your other ownership or license rights in your User Submissions, including the right to grant additional licenses to your User Submissions.</li>
- <li>You are publishing your User Submission, and you may be identified publicly by your name or User ID and other information available in your Social Teeth profile in association with your User Submission.</li>
- <li>You will pay all royalties and other amounts owed to any person or entity based on your Submitting User Submissions to the Service or Social Teeth’s publishing or hosting of the User Submissions as contemplated by these Terms of Use, unless otherwise agreed to by Social Teeth.</li>
- <li>You further agree that your User Submissions will not contain third-party copyrighted material, or material that is subject to other third-party proprietary rights, unless you have permission from the rightful owner of the material or you are otherwise legally entitled to post the material and to grant Social Teeth all of the license rights granted herein.</li>
- <li>The use or other exploitation of User Submissions by the Company and Users as contemplated by this Agreement will not infringe or violate the rights of any third party, including without limitation any privacy rights, publicity rights, copyrights, contract rights, or any other intellectual property or proprietary rights.</li>
- <li>All information publicly posted or privately transmitted through the Site is the sole responsibility of the person from which that content originated.</li>
- <li>The Company will not be liable for any errors or omissions in any Content.</li>
- <li>Social Teeth cannot guarantee the identity of any other Users with whom you may interact while using the Service.</li>
- <li>All Content you access through the Service is at your own risk and you will be solely responsible for any resulting damage or loss to any party.</li>
- </ul>
- <p>In accordance with the Digital Millennium Copyright Act ("DMCA"), Social Teeth will, in appropriate circumstances, terminate User accounts that are repeat infringers of the intellectual property rights of others. Social Teeth also may terminate User accounts even based on a single infringement.</p>
- <h3>Copyright Notifications</h3>
- <p>Social Teeth will remove infringing materials in accordance with the DMCA if properly notified that Content infringes copyright. If you believe that your work has been copied in a way that constitutes copyright infringement, please notify Social Teeth in writing. Your notice must contain the following information (please confirm these requirements with your legal counsel, or see the U.S. Copyright Act, 17 U.S.C. §512(c)(3), for more information):</p>

- <li>an electronic or physical signature of the person authorized to act on behalf of the owner of the copyright interest;</li>
- <li>a description of the copyrighted work that you claim has been infringed;</li>
- <li>a description of where the material that you claim is infringing is located on the Site, sufficient for Social Teeth to locate the material;</li>
- <li>your address, telephone number, and email address;</li>
- <li>a statement by you that you have a good faith belief that the disputed use is not authorized by the copyright owner, its agent, or the law; and</li>
- <li>a statement by you that the information in your notice is accurate and, under penalty of perjury, that you are the copyright owner or authorized to act on the copyright owner's behalf.</li>
- </ul>
- <p>If you believe that your work has been removed or disabled by mistake or misidentification, please notify Social Teeth in writing. Your counter-notice must contain the following information (please confirm these requirements with your legal counsel or see the U.S. Copyright Act, 17 U.S.C. §512(g)(3), for more information):</p>
- <ul>
- <li>a physical or electronic signature of the user of the Services;</li>
- <li>identification of the material that has been removed or to which access has been disabled and the location at which the material appeared before it was removed or access to it was disabled;</li>
- <li>a statement made under penalty of perjury that the subscriber has a good faith belief that the material was removed or disabled as a result of mistake or misidentification of the material; and</li>
- <li>the subscriber's name, address, telephone number, and a statement that the subscriber consents to the jurisdiction of the Federal District Court for the judicial district in which the address is located, or if the subscriber's address is outside of the United States, for any judicial district in which the service provider may be found, and that the user will accept service of process from the person who provided notification under subscriber (c)(1)(C) or an agent of such person.</li>

When you access third-party websites, you do so at your own risk. Those other websites are not under the Company's control, and you acknowledge that the Company is not responsible or liable for the content, functions, accuracy, legality, appropriateness, or any other aspect of those other websites or resources. The inclusion of any such link or a link on another website to the Site does not imply endorsement by or affiliation with the Company. You further acknowledge and agree that the Company shall not be liable directly or indirectly for any damage related to the use of any content, goods, or services available through any third-party website or resource.</p>
- <h3>Governing Law and Arbitration of Disputes</h3>

- <p>Notwithstanding the foregoing, either you or Social Teeth may seek any injunctive relief exclusively in state or federal court in San Francisco, California, as may be necessary to preserve rights pending the completion of arbitration. Social Teeth may also seek any injunctive relief in a state or federal court in Santa Clara County, California, or another court of competent jurisdiction, at any time against any violations of Section 4 (Proprietary Rights) or Section 5 (Acceptable Use) of this Agreement.</p>

Social Teeth neither represents, warrants, covenants guarantees, nor promises any specific results from use of the Website or the Program.</p>

+Fundraising Campaigns for Advertising Campaigns </br>
+
+Social Teeth allows Users to choose active advertisement campaigns (“Campaign”) approved by Clients. Users who choose to financially support a campaign (“Backer”) will complete the transaction pledge via Stripe.
+
+By submitting Content and/or backing a Campaign, you agree to be bound by this entire Agreement, including the following terms:

+Backers agree to provide their payment information when they contribute to a Campaign.
+
+Backers authorize Social Teeth and its payment partners , to reserve and charge their payment card for any amount up to the full pledge at any time between the pledge and the collection of funds.
+
+Backers agree to have sufficient funds or credit available when they contribute to a Campaign.
+
+By Submitting Content, Clients agree that 90% of the funds raised on the Site will go directly to the purchase of adspace or airtime. Furthermore, Clients authorize Aegis and its affiliates and/or subsidiaries to buy media on Client’s behalf.

+<li> CONDUCT AS A USER </br>

+You must abide by all applicable local, state, national, and international laws and regulations. You must not engage in advertising to, or solicitation of, any User, Backer, or Client to buy or sell any products or services through the Site.

+You agree that the Service contains Content provided by Social Teeth, its partners and Users and that the Content may be protected by copyrights, trademarks, service marks, patents, trade secrets, or other rights and laws. You must abide by and maintain all copyright and other legal notices, information, and restrictions contained in any Content accessed through the Service.

+You must not (and must not permit any third party to) either (a) take any action or (b) upload, download, post, submit or otherwise distribute or facilitate distribution of any content on or through the Service, including without limitation any User Submission, that:

+For all Campaigns, Social Teeth gives the Client each Backer’s name, email, User ID and contribution amount. User contact information will only be provided to Clients in order to relay information about the Client’s fundraising campaign on Social Teeth’s platform. Clients will not add you to their mailing list without your permission. For Campaigns for candidates running for political office, we may require and share more information including your address, occupation and employer in order to comply with FEC disclosure regulations.

+FEES AND PAYMENT

+<p>
+Joining Social Teeth is free. However, we may charge fees for certain services. When you use a service that has a fee you have an opportunity to review and accept the fees that you will be charged. Changes to fees are effective after we provide you with notice by posting the changes on the Site. We may choose to temporarily change the fees for our services for promotional events or new services, and such changes are effective when we post the temporary promotional event or new service on the Website. You are responsible for paying all fees and taxes associated with your use of the Service. Funds pledged by Backers are collected by Stripe. Social Teeth is not responsible for the performance of Stripe.
+</p>
+<p>
+Unless otherwise stated, all fees are quoted in U.S. Dollars. Backers are responsible for paying all fees and applicable taxes associated with your use of the site. In the event a listing is removed from the Service for violating the Terms of Use, all fees paid will be non-refundable, unless in its sole discretion Social Teeth determines that a refund is appropriate.

+<li>REFUNDS
+</br>
+<p>
+Before the expiration date on the campaign, backers may request a refund at any time during the fundraising Campaign, before the expiration date provided on the campaign, except that they may not cancel their pledge if the campaign is within its final 24 hours and the cancellation would drop the campaign below its goal. If a Backer chooses to request a refund, they will be refunded the amount of their contribution minus a 2.9% fee charged by Stripe.
+</p>
+<p>
+After the expiration date provided on the campaign, Social Teeth will not issue refunds for contributions that have been collected for Campaigns that have successfully reached their fundraising goals.
+</p>
+<p>
+Because of occasional failures of payments from Backers, Social Teeth cannot guarantee the full receipt of the amount pledged minus fees.
+</p>
+<p>
+Social Teeth reserves the right to cancel or refund a contribution at any time for any reason. Social Teeth will notify Backers by email when a Campaign has been fully funded. If a Campaign is not funded by the expiration date provided on the campaign, Backers will be refunded the amount of their contribution minus the 2.9% fee that Stripe takes with every transaction that goes through Social Teeth.

+
+<li>
+TERMINATION AND SUSPENSION OF CAMPAIGNS
+</br>
+<p>
+Social Teeth reserves the right to reject, cancel, interrupt, remove, or suspend a campaign at any time due to intellectual property infringement, problems with providers of advertising space, or other reasons at the sole discretion of Social Teeth. Clients cannot cancel, remove or suspend a campaign after the expiration date of their campaign or after they have approved a budget with Aegis, whichever comes earlier.

+
+<li>
+MODIFICATION OF CREATIVE WORKS
+</br>
+<p>
+Social Teeth will have the right, with consent from the Client, to modify the advertisement by including the Social Teeth logo and/or a Social Teeth video introduction, as well as any other changes that are necessary to adapt the creative work for display in a particular form of advertising.
+</p>
+</li>
+
+
+<li>
+YOUR INFORMATION AND POSTINGS
+</br>
+<p>
+ “Your Information” includes any information you provide to us, including, without limitation, any information you provide during registration, and submit to the Site.
+</p>
+ <p>
+You are publishing your User Submission, and you are identified publicly by your name or User ID and other information available in your Social Teeth profile in association with your User Submission.
+</p>
+<p>
+All information publicly posted or privately transmitted through the Site is the sole responsibility of the person from which that content originated. The Company will not be liable for any errors or omissions in any Content.
+</p>
+<p>
+Social Teeth cannot guarantee the identity of any other Users with whom you may interact while using the Service. All Content you access through the Service is at your own risk and you will be solely responsible for any resulting damage or loss to any party.

+<p>
+You are solely responsible for Your Information. We have no obligation to monitor the Site. We may, however, take any action we deem necessary and appropriate in our sole discretion if we believe Your Information creates a risk of liability to Social Teeth. Social Teeth may, at its sole discretion, remove or disable access to material on the Site that infringes on the rights of third parties or is otherwise harmful to Social Teeth. Social Teeth may also, at its sole discretion, terminate your access to the Site at any time for any or no reason, with or without notice.

+Subject to Social Teeth’s Privacy Policy, by posting Your Information on or through the Site you automatically grant Social Teeth a royalty-free, perpetual, irrevocable, non-exclusive license to use, reproduce, modify, transmit, translate, distribute, perform and display Your Information alone or as part of other works in any form, media, or technology whether now known or hereafter developed, and to sublicense such rights to others.

+You will pay all royalties and other amounts owed to any person or entity based on your Submitting User Submissions to the Service or Social Teeth’s publishing or hosting of the User Submissions as contemplated by these Terms of Use.

+The foregoing license grant to the Social Teeth does not affect your other ownership or license rights in your User Submissions, including the right to grant additional licenses to your User Submissions.
+</p>
+<p>
+You grant other Users permission to share your User Submission on sharing platforms, including but not limited to, social media networks and personal blogs, as long as they attribute the work to You.
+</p>
+<p>
+Social Teeth reserves the right at all times to disclose any information as Social Teeth deems necessary to satisfy any applicable law, regulation, legal process or governmental request, or to edit, refuse to post or to remove any information or materials, in whole or in part, in Better Place’s sole discretion.

+INTELLECTUAL PROPERTY OF USERS

+By Submitting User Submissions and posting any messages or other information on the Site or otherwise through the Service, you agree to the following terms, which supersede the terms put forth in Section 9:

+Social Teeth will not have any ownership rights over your User Submissions. For content that is covered by intellectual property rights, like photos and videos (IP content), You specifically give us the following permission: You grant us a non-exclusive, transferable, sub-licensable, royalty-free, worldwide license to use User Submission. This IP License ends when you delete your IP content or your account, unless your content has been shared with others, and they have not deleted it.

+The Company may terminate your access to the Service, without cause or notice, which may result in the forfeiture and destruction of all information associated with your account.
