ENONIC LICENSE 2.0

By using, copying, modifying, distributing, making available, or preparing derivative works of the Software, You agree to this License.

1. Definitions

  • "Licensee" or "You" means the individual or legal entity exercising the permissions granted by this License.
  • "Licensor" means Enonic AS.
  • "Software" means the software, source code, object code, and associated documentation governed by this License.

2. Grant of License

(a) Copyright Grant: Subject to the terms and limitations of this License, Licensor grants You a worldwide, royalty-free, non-exclusive, non-sublicensable, and non-transferable license to use, copy, distribute, make available, modify, and prepare derivative works of the Software.

(b) Patent Grant: Subject to the terms and limitations of this License, Licensor grants You a worldwide, royalty-free, non-exclusive, non-sublicensable, and non-transferable license under any patent claims Licensor can license that are necessarily infringed by Your use of the Software as provided by Licensor. This patent license does not extend to any patent claims that would be infringed only as a result of modifications or additions You make to the Software.

(c) Premium Functionality: This License does not grant any right to use paid, premium, enterprise, AI, or otherwise license-restricted functionality except as authorized by Licensor through a valid license key, subscription, agreement, or other entitlement.

3. Limitations and Permitted Hosting

(a) General Limitation: You may not provide the Software, or substantially similar functionality based on the Software, to third parties as a hosted, managed, cloud, SaaS, PaaS, white-label, or service-provider offering where the Software itself forms a substantial part of the service being offered. This limitation applies whether the service is single-tenant or multi-tenant, self-service or manually provisioned, modified or unmodified.

(b) Permitted Hosting: Notwithstanding the limitation in Section 3(a), You may host, manage, or operate the Software on behalf of a specific customer, client, or third party if at least one of the following is true:

  • Licensed Customer: The customer holds a valid commercial license, subscription, license key, or other entitlement issued or approved by Licensor; OR

  • Custom Projects: You operate the Software for the customer’s own specific use (such as their website, application, intranet, or internal business purpose) as part of Your broader consulting, development, or implementation services, and You do not offer the Software as a standalone, general-purpose cloud service.

For clarity: Section 3(a) prohibits turning the Software into Your own competing service offering. Section 3(b) ensures You can always run it for any customer who has a commercial agreement with Enonic, or for any customer utilizing it for a bespoke digital project under Your management.

4. Premium Features and Anti-Circumvention

The Software may contain license keys, feature flags, entitlement checks, or other technical measures that control access to paid, premium, enterprise, AI, or otherwise restricted functionality.

You may not bypass, disable, remove, alter, or circumvent such measures, or modify the Software for the purpose of accessing restricted functionality without a valid entitlement issued or approved by Licensor.

Possession of the Software, including source code, does not grant any right to use restricted functionality without such entitlement.

5. Notices and Third-Party Components

If You distribute the Software or a modified version of the Software, You must include a copy of this License and retain applicable copyright, license, attribution, and trademark notices.

The Software may include third-party components that are subject to separate license terms. Such components are licensed under their own terms, not under this License.

6. Ownership and Trademarks

This License does not grant permission to use the trade names, trademarks, service marks, logos, or product names of Licensor, except for reasonable and customary use in describing the origin of the Software.

Licensor retains all rights, title, and interest in the Software originally provided by Licensor. You retain any rights You may have in modifications You create, subject to Licensor’s rights in the underlying Software and the terms of this License.

7. Termination

If You violate this License, the permissions granted to You terminate automatically. However, Your rights are reinstated if You fix the violation within 30 days of being notified by Licensor.

If You or Your organization assert in writing, in any litigation or formal claim, that the Software infringes or contributes to the infringement of any patent, all licenses granted to You under this License, including the patent license in Section 2, terminate automatically.

8. Disclaimer of Warranty and Limitation of Liability

THE SOFTWARE IS PROVIDED "AS IS", WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO THE WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NONINFRINGEMENT.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT SHALL LICENSOR BE LIABLE FOR ANY CLAIM, DAMAGES, OR OTHER LIABILITY, WHETHER IN AN ACTION OF CONTRACT, TORT, OR OTHERWISE, ARISING FROM, OUT OF, OR IN CONNECTION WITH THE SOFTWARE OR THE USE OR OTHER DEALINGS IN THE SOFTWARE.

9. Separate Agreements

A separate written agreement with Licensor may grant additional rights or exceptions, and controls over this License to the extent of any conflict.
