Ti=Termination and consequences of termination
1.0.sec=In the event that:
1.1.sec=the {_Data_Importer} or {_Data_Processor} gives notice to the {_Data_Exporter} or {_Data_Controller} that it is unable to comply with applicable {_National_Privacy_Law}; or
1.2.sec=the {_Data_Importer} or {_Data_Processor} is in material breach of any of its obligations under this {_Agreement} which is incapable of being remedied or has not been remedied within a reasonable period on receipt of notice from any {_party} to this {_Agreement}; or
1.3.sec=a {_Supervisory_Authority} or other tribunal or court with jurisdiction over the {_Data_Exporter} or {_Data_Controller} rules that there has been a breach of applicable laws by virtue of the {_Data_Importer}’s or {_Data_Processor}'s {_Processing} of the {_Exported_Personal_Data} or {_Personal_Data}, the {_Data_Exporter} or {_Data_Controller}, without prejudice to any other rights which it may have against the {_Data_Importer} or {_Data_Processor}, shall be entitled to terminate this {_Agreement} with respect to the {_Data_Importer} or {_Data_Processor} concerned on reasonable notice.

2.sec=In the event that the {_Data_Exporter} or {_Data_Controller} is in material breach of any of its obligations under this {_Agreement} which is incapable of being remedied or has not been remedied within a reasonable period on receipt of notice from any {_party} to this {_Agreement} the {_Data_Importer} or {_Data_Processor}, without prejudice to any other rights which it may have against the {_Data_Exporter} or {_Data_Controller}, shall be entitled to terminate this {_Agreement} with respect to the {_Data_Exporter} or {_Data_Controller} concerned on reasonable notice.
3.sec=In the event that a {_P1_Affiliate} ceases to be an {_P1_Affiliate} (the “{DefT.Exiting_Party}”) the {_Agreement} will no longer apply to the {_Exiting_Party}, other than in relation to acts and omissions which occurred while the {_Exiting_Party} was a {_P1_Affiliate}.
4.sec=Notwithstanding anything else in this clause {Life.Xnum}, the {_parties} agree that the termination of the {_Agreement} at any time, in any circumstances and for whatever reason does not exempt them from the obligations and/or conditions under the {_Agreement} as regards the {_Processing} of the transferred {_Exported_Personal_Data}.
5.sec=In the event of termination of this {_Agreement}, with the relevant provision of {Annex.ControllerProcessorAgreement.Xref} and {Annex.BasicControllerProcessorAgreement.Xref} as applicable shall apply in respect of the deletion or return of the {_Exported_Personal_Data}.
