The Cardano Stiftung is a Swiss non-profit foundation, domiciled at Dammstrasse 16, 6300 Zug, Switzerland (“Foundation” or “we”). The Foundation owns, operates and makes available the “Cardano Registry”, an online utility that allows the public to access information on identifiers used in the Cardano network.
You (the “User”) want to access information provided in the Cardano Registry and/or want to add information on an identifier to be published in the Cardano Registry.
These Terms of Use (the “Terms”) set out the terms under which the User may use the Cardano Registry.

By accessing the Cardano Registry and/or requesting to add information to the Cardano Registry, the User agrees to comply with and be bound by these Terms and the provisions herein without reservations.

If the User does not agree to comply with and be bound by these Terms and the provisions herein without reservations, the User must refrain from using the Cardano Registry.

The User may not use the Cardano Registry and may not accept the Terms if the User is not of legal age to form a binding contract with the Foundation.

The Cardano Registry, or any of its content, is not intended for Users whose applicable laws and regulations prohibit or restrict the use of or the access to the information provided in the Cardano Registry. In this case, the User must refrain from using the Cardano Registry.

The use of the Cardano Registry is free of charge. It is the User’s responsibility to make any and all arrangements necessary in order to use the Cardano Registry.

The Cardano Registry and the information contained in the Cardano Registry may be used for personal and/or commercial purposes without restriction, subject to the following conditions:
- The use must be in compliance with these Terms and must not be in violation of any laws and regulations;
- These Terms shall be included by reference;
- These Terms do not grant permission to use the trade names, trademarks, service marks, product names or otherwise protected or proprietary names or content of the Foundation or, if any of such is included, of the information contained in the Cardano Registry;
- The owner of trade names, trademarks, service marks, product names or otherwise protected or proprietary names or content included in the information contained in the Cardano Registry has given prior permission to the intended use;
- All copyright, patent, trademark, and attribution notices contained in the information of the Cardano Registry must be retained.

The Foundation may provide access to the Cardano Registry via API. Such access is subject and governed by a dedicated “API Terms of Use” which applies in addition to these Terms.

The User must make sure and warrants that the information submitted to be published in the Cardano Registry is true and accurate. The User is solely responsible to keep the submitted information up to date.

The User shall not submit misleading or impersonating, illegal, offensive or otherwise inappropriate information or content to the Cardano Registry, including but not limited to defamatory, racist, sexist, unethical, explicit content, unsolicited advertisement, or harmful code.

The User shall not submit information that infringes another party’s rights, including but not limited to:

Private or personal data;

Information containing content protected by intellectual property rights, e.g. copyrights, trademarks, patents.

The User shall not submit information that could be construed as the provision or promotion of a financial instrument or an investment product, or related financial services, such as the solicitation, offer, recommendation or advice to invest in a certain instrument, e.g. by including financial data, expected returns or other forward-looking statements.

The publication of information in the Cardano Registry is subject to approval at the sole discretion of the Foundation. The Foundation reserves every right to reject such approval, or correct or delete information published in the Cardano Registry at any time without notice and at its own sole discretion. Reasons for that might include a breach of these Terms, statutory duties, a court ruling or similar.

The User hereby explicitly consents to the Foundation’s use of the information submitted to the Cardano Registry as described in these Terms and grants the Foundation all necessary rights to legally do so. The User thereby also acknowledges and consents that the information submitted to the Cardano Registry will be accessible to the public and can be used by third parties.

The Foundation’s general Privacy Policy, as applicable under https://cardanofoundation.org/en/privacy, fully applies to the use of the Cardano Registry and, by reference, is an integral part of these Terms.

These Terms provide the explicit contractual consent from the User to store and process the User’s personal data to the extent necessary for the use of the Cardano Registry according to these Terms and the Foundation’s general Privacy Policy.

The information provided by the Cardano Registry does not constitute solicitation, offer, recommendation or advice to invest or engage in any kind of transaction, neither regarding a digital asset or in a financial instrument nor any other kind of assets.

Neither the Cardano Registry nor the information contained therein shall be construed as the provision or promotion of financial instruments or investment products, financial services, or financial advice. The Cardano Registry and the information contained therein are intended for information purposes only.

Should the Cardano Registry and the information contained therein constitute a regulated financial service or any other service subject to licensing requirements under the laws and regulations applicable to the User, the User must refrain from using the Cardano Registry.

The entirety of the Cardano Registry, including its structure, documentation and otherwise accessible content, is protected by copyright, trademark, or other applicable intellectual property rights.

The Cardano Registry and the information contained in the Cardano Registry must not be used other than explicitly allowed by these Terms without the prior explicit written consent of the Foundation.

The use of the Cardano Registry is at the User’s own risk and for general information purposes only. The Cardano Registry is provided "as is" and "as available", without any representation, warranty, or guarantee of any kind.

The Foundation may decide to interrupt the availability of, or add or remove features from the Cardano Registry at any time without notice and at its own sole discretion. The Foundation does not make any representations, warranties, or guarantees, whether express or implied, regarding the availability of the Cardano Registry, and any of its features, or information contained in the Cardano Registry.

The Foundation does not make any representations, warranties, or guarantees, whether express or implied, that the Cardano Registry and information contained in the Cardano Registry is complete, true, accurate, or up-to-date.

Even though the Foundation subjects all submissions to publish information on the Cardano Registry to an approval process, the Foundation does not make any representations, warranties, or guarantees, whether express or implied, regarding the information published in the Cardano Registry. The approval process is only a technical measure and does not include any verification, endorsement, or confirmation of the information published in the Cardano Registry.

To the extent permissible by applicable law, the Foundation further excludes all representations, warranties, and guarantees, whether express or implied, that may apply to the Cardano Registry or the information contained in the Cardano Registry.

To the extent permissible by applicable law, the Foundation does not accept any liability for loss or damages, whether foreseeable or otherwise and whether direct or indirect, in contract, tort (including negligence), for breach of statutory duty, or otherwise, arising out of or in connection with the use of or inability to use of or reliance upon the Cardano Registry or the use of or reliance upon any information contained in the Cardano Registry.

The Foundation does not accept any liability for any loss or damage arising out of the information published in the Cardano Registry, including but not limited to false information, infringement of third-party rights such as copyrights, trademarks, patents or otherwise protected intellectual property rights, personal rights.

The Foundation does not accept any liability for any loss or damage arising out of any disruption or non-availability of Cardano Registry or the information contained in the Cardano Registry resulting from external causes, including but not limited to equipment failure of an internet service provider, host equipment failure, communications network failure, natural events, acts of war, or legal restrictions and censorship.

The Foundation does not accept any liability for any loss or damage resulting from a virus or other malware, a distributed denial of service attack, or other harmful material or event that may adversely affect the User’s hardware, software, data or other material that occurs as a result of the User’s use of the Cardano Registry or information contained in the Cardano Registry.

The Foundation does not accept any liability for any loss or damage resulting from the Foundation deleting information published in the Cardano Registry at any time without notice and at its own sole discretion.

The Cardano Registry and the information contained in the Cardano Registry may contain third-party content or links to third-party websites. Such content and links are provided for information purposes only and do not imply any endorsement of the content or the websites themselves or of those in control of them.

The Foundation has no control over, does not assume any responsibility for, and does not make any warranties or representations as to any third-party content or websites, including but not limited to completeness, truth, accuracy, or actuality.

The Foundation does not accept any liability for third-party content or websites linking to or framing the Cardano Registry.

Nothing contained in these Terms shall be deemed to constitute a partnership, joint venture or employment for any purpose.

The Foundation may, in its sole discretion, revise these Terms at any time without notice. Continued use of the Cardano Registry following any modification of these Terms will constitute the User’s acceptance of these Terms in its modified version.

In the event of any conflict between the current version of these Terms and any previous version(s), the Terms in its current version and in effect shall prevail.

If one of the provisions of these Terms is or becomes ineffective or invalid, the validity of the remaining provisions shall remain unaffected. In the event of ineffectiveness or invalidity of a provision, this provision shall be replaced by a new provision that comes closest to the purpose of the ineffective provision.

These Terms shall be governed by and construed in accordance with the laws of Switzerland, whereas Swiss Private International Law and international treaties, in particular the Vienna Convention on the International Sale of Goods dated 11 April 1980, are explicitly excluded.

The exclusive place of jurisdiction for any and all disputes under or in connection with these Terms and any legal relationships derived from these Terms shall be subject to the jurisdiction of the competent courts at the domicile of the Foundation.
