LICENSE AGREEMENT
This License Agreement ("Agreement") is made and effective as of the date of acceptance ("Effective Date") by the party installing or using the software ("Licensee") and You.com ("Licensor").
- DEFINITIONS
a. "Software" means the computer program and related materials provided by Licensor under this Agreement.
- LICENSE GRANT
Licensor hereby grants Licensee a non-exclusive, non-transferable license to use the Software for non-commercial purposes only. Licensee may not use the Software for any commercial purpose, including but not limited to selling or distributing the Software, or using the Software to develop commercial products.
- OWNERSHIP AND COPYRIGHT
The Software is owned and copyrighted by Licensor.
- TERM AND TERMINATION
This license will terminate automatically upon any breach of this Agreement by Licensee. Upon termination, Licensee shall immediately cease all use of the Software and delete all copies of the Software in its possession.
- LIMITATION OF LIABILITY
Licensor shall not be liable for any direct, indirect, incidental, special, or consequential damages arising out of or in connection with this Agreement.
- GENERAL
This Agreement shall be governed by and construed in accordance with the laws of the state of California, USA. This Agreement constitutes the entire agreement between the parties and supersedes all prior agreements and understandings, whether written or oral, concerning the Software. This Agreement may not be amended or modified except in writing signed by both parties.
IN WITNESS WHEREOF, the parties have executed this Agreement as of the Effective Date.
