I'm generally OK with this as is, as long as it is a step toward shrinking and refocusing the board.

So, the executive will be the first point of contact with NumFOCUS? I think that should be added to the list of points of responsabilities (unless manage finances have that implicitly).
It does, as (currently) our finances are NumFOCUS. It is of course possible we part ways with NF at some point so this wording is more generic. I wouldn't be adverse to adding it explicitly though. |
Should we remove the section "Board members" with the initial board members? Seems a bit dated now. Or was it meant to be there forever? |

I think the idea was to leave it there forever. As the board is self-electing, I think it's kind of important to define the starting point of that chain. |
Description
The purpose of this SEP is to restructure the board. Now that the community has grown significantly as well as matured, they're is a need for a more equitable sharing of responsibilities. The board also recognizes that its structure is not conducive for making financial decisions in a timely manner. The primary purpose of this SEP is to recognize the existence and need for an executive that goes beyond the the executive director (ED). This SEP gives the executive the responsibility to manage the financials aspects of the Project. The structure of the executive shall be defined in another SEP. The board will oversee the executive by providing advise as well as consent. What consent means is not explicitly defined on purpose to allow for that process to be flexibly defined by the current ED and board.
