VueTube Brand Guidelines & Brand Kit License Agreement

This License Agreement (the "Agreement") is made between VueTube, and the end user (the "Licensee") of VueTube's brand guidelines and brand kit (the "Resources").

  1. License Grant. VueTube hereby grants Licensee a non-exclusive, non-transferable, revocable license to use the Resources for the purpose of promoting VueTube or VueTube-related projects, subject to the terms and conditions of this Agreement.

  2. Restrictions. Licensee may modify or alter the Resources only in ways described within VueTube's brand guidelines, including but not limited to resizing, and color adjustments, in order to fit the needs of Licensee's promotional materials. Licensee may not use the Resources in any way that implies endorsement, sponsorship, or affiliation with any third party without the prior written consent of VueTube. Licensee may not use the Resources in any way that is deceptive, defamatory, or otherwise objectionable.

  3. Ownership. VueTube retains all rights, title, and interest in and to the Resources, including all intellectual property rights therein. Licensee acknowledges that it has no ownership or other proprietary interest in the Resources.

  4. Good Faith Use. Licensee may use the Resources only in good faith and in accordance with the terms and conditions of this Agreement. Licensee agrees to cease using the Resources if VueTube determines that Licensee's use is not in good faith.

  5. Adherence to Brand Guidelines. Licensee must adhere to the latest version of VueTube's brand guidelines at all times when using the Resources. VueTube may update its brand guidelines from time to time without notice to Licensee. Licensee is responsible for regularly reviewing and complying with any updates. Failure to comply with the latest version of VueTube's brand guidelines may result in termination of this Agreement and revocation of the license granted herein.

  6. Termination. This Agreement may be terminated by VueTube at any time upon notice to Licensee. Upon termination, Licensee shall cease all use of the Resources.

  7. Governing Law. This Agreement shall be governed by and construed in accordance with the laws of the State of New Jersey, without regard to its conflicts of law provisions. Any action arising out of or relating to this Agreement shall be filed only in the state or federal courts located in New Jersey, and Licensee hereby consents and submits to the personal jurisdiction of such courts for the purposes of litigating any such action.

  8. Entire Agreement. This Agreement constitutes the entire agreement between VueTube and Licensee with respect to the subject matter hereof, and supersedes all prior or contemporaneous communications and proposals, whether oral or written, between the parties.

  9. Changes to the License Agreement. VueTube reserves the right to change, modify, add, or remove portions of this License Agreement at any time without notice to Licensee. Licensee is responsible for regularly reviewing this License Agreement. Continued use of the Resources after any such changes shall constitute Licensee's consent to such changes. If Licensee does not agree to the changes, Licensee must cease using the Resources immediately.

  10. Acknowledgment. By using the Resources, Licensee acknowledges that it has read this Agreement, understands it, and agrees to be bound by its terms and conditions.

By using the Resources, you agree to be bound by the terms and conditions of this Agreement. If you do not agree to the terms and conditions of this Agreement, do not use the Resources.

THE RESOURCES ARE PROVIDED "AS IS" WITHOUT WARRANTY OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING WITHOUT LIMITATION ANY WARRANTY OF MERCHANTABILITY OR FITNESS FOR A PARTICULAR PURPOSE.

IN NO EVENT SHALL VUETUBE BE LIABLE TO LICENSEE OR ANY THIRD PARTY FOR ANY DIRECT, INDIRECT, SPECIAL, CONSEQUENTIAL, OR INCIDENTAL DAMAGES ARISING OUT OF OR RELATED TO THIS AGREEMENT OR THE USE OF THE RESOURCES, WHETHER BASED IN CONTRACT, TORT, OR ANY OTHER THEORY OF LIABILITY.
