As the sole consideration for the performance of the Services by the Consultant under this Agreement to the satisfaction of the Company, the Company shall pay the Consultant the fee set forth in Exhibit A (the “Fee”).

The Fee shall be paid against and conditioned upon receipt by the Company of a duly issued tax invoice issued by the Consultant, which, to the extent the Fee is based on an hourly fee, includes the number of hours spent providing the Services and a description of the Services provided. The Fee shall be paid by the Company to the Consultant as set forth in Exhibit A.
