Description
I want to update section 4.6 of our bylaws to include an attendance policy and a leave of absence policy to help us address the organization's health and increase our chances of keeping quorum should attendance be a factor.
These changes aim to add an attendance policy to our roles and allow a director to take a leave of absence for up to six months without impacting quorum with board approval.
These changes are not meant to punish anyone who needs to take a leave of absence (medical, family, life changes, etc.) or who, in good faith, can not make a meeting.
I'm proposing that directors attend at least half of all meetings over six months, or they are subject to removal, which requires a vote of the existing board.
This is inspired by DEFNA's policy in section 17 on board vacancies: https://github.com/DEFNA/foundation/blob/main/bylaws.md. For DEFNA, we bring up a vote if any director misses three out of four members without asking for a proxy or a leave of absence.
I am fine with either policy, but missing three out of six meetings feels like a lot for a two-year term.
