Affiliate

1.3“Affiliate” means, in relation to the Disclosing Party, any other company, organization or person which, from time to time, directly or indirectly through one or more intermediaries, Controls, is Controlled by or is under common Control with the Disclosing Party. 1.4“Control” means, as to any company, organization or person, the power to manage, directly or indirectly, the operation of the business of or control the composition of the board of directors or board management of such company, organization or person, whether through the ownership of voting securities, by contract or otherwise and "Controlled" and "Controls" shall have corresponding meanings. 1.3“关联方”是指与披露方有关的，不时直接或间接通过一个或多个中介，控制披露方的、被披露方控制的，或与披露方处于共同控制下的任何其它公司、组织或主体。 1.4“控制”是指，关于任何公司、组织或主体的，直接或间接地管理其业务经营或控制该等公司、组织或主体的董事会或管理委员会的组成的权力，无论是通过对有表决权证券的所有权，或通过协议或其它方式，且“被控制”和“控制”应有相应的一致含义。
