# VERHEYDEN TECH - DCS (DATA CONTROL SYSTEM) & GERAR AI PROPRIETARY LICENSE AGREEMENT

This End-User License Agreement ("EULA") is a legal agreement between you (either an individual or a single entity, hereinafter referred to as "Licensee") and Verheyden Tech ("Licensor") for the software product(s) identified above, which includes computer software, artificial intelligence systems, and may include associated media, printed materials, and "online" or electronic documentation (collectively, the "Software").

By installing, copying, accessing, or otherwise using the Software, the Licensee agrees to be bound by the terms of this EULA. If the Licensee does not agree to the terms of this EULA, they may not install, access, or use the Software.

### 1. DEFINITIONS
* **"Software"** refers to the Data Control System (DCS) and all its associated modules (including but not limited to DCS.Core, DCS.Data, feature modules), databases, APIs, and mobile applications developed by Verheyden Tech.
* **"Gerar (AI System)"** refers to the proprietary artificial intelligence models, automated agents, prompt architectures, reasoning logic, and related infrastructure developed, hosted, and operated by Verheyden Tech, integrated into or provided alongside the Software.
* **"Licensor"** refers to Verheyden Tech.
* **"Licensee"** refers to the individual or entity that has been granted the right to use the Software and the Gerar AI System under this EULA.

### 2. GRANT OF LICENSE
Subject to the terms and conditions of this EULA and the successful validation of a valid license key or authorized subscription, Verheyden Tech grants the Licensee a limited, non-exclusive, non-transferable, and revocable right to install and use the Software, and to interact with the Gerar AI System, solely for internal business operations or personal use, as explicitly authorized by the Licensor.

### 3. LICENSE VALIDATION AND ENFORCEMENT
The Software contains technological measures designed to prevent unauthorized or illegal use. 
* **Validation:** The Software may require mandatory electronic validation via license keys, hardware binding, or continuous communication with Verheyden Tech's licensing servers.
* **Revocation:** The Licensor reserves the right to suspend or revoke access to the Software and the Gerar AI System immediately and without notice if unauthorized use, tampering, or breach of this agreement is detected.

### 4. DESCRIPTION OF OTHER RIGHTS AND LIMITATIONS
The Licensee shall not, and shall not permit any third party to:
* **Reverse Engineering:** Decompile, reverse engineer, disassemble, or otherwise attempt to derive the source code of the Software.
* **AI Exploitation (Gerar):** Attempt to bypass, exploit, manipulate, or extract the underlying rules, system prompts, or operational logic of the Gerar AI System through techniques including, but not limited to, prompt injection, jailbreaking, or adversarial inputs.
* **Model Scraping and Training:** Use the outputs, interactions, or data generated by the Gerar AI System to train, fine-tune, or develop any competing artificial intelligence models or machine learning algorithms.
* **Malicious Use:** Utilize the Software or the Gerar AI System to generate malicious code, engage in automated unauthorized actions, or facilitate any illegal activities.
* **Modification:** Modify, translate, adapt, or create derivative works based on the Software or the Gerar AI System.
* **Distribution:** Rent, lease, lend, sell, redistribute, sub-license, or publish the Software or any portion thereof.
* **Proprietary Notices:** Remove, alter, or obscure any copyright, trademark, or other proprietary rights notices embedded within the Software.

### 5. INTELLECTUAL PROPERTY RIGHTS
All title, ownership rights, and intellectual property rights in and to the Software and the Gerar AI System (including but not limited to any code, AI architectures, system prompts, UI/UX designs, animations, databases, and structural architectures) are owned by Verheyden Tech. The Software is protected by copyright laws and international copyright treaties, as well as other intellectual property laws and treaties. The Software is licensed, not sold.

### 6. TERMINATION
Without prejudice to any other rights, Verheyden Tech may terminate this EULA if the Licensee fails to comply with the terms and conditions of this EULA. In such event, the Licensee must immediately destroy all copies of the Software, cease all access to the Gerar AI System, and destroy all of its component parts.

### 7. DISCLAIMER OF WARRANTIES
THE SOFTWARE AND THE GERAR AI SYSTEM ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTY OF ANY KIND, EITHER EXPRESS OR IMPLIED. VERHEYDEN TECH DOES NOT WARRANT THAT THE FUNCTIONS CONTAINED IN THE SOFTWARE WILL MEET YOUR REQUIREMENTS OR THAT THE OPERATION OF THE SOFTWARE WILL BE UNINTERRUPTED OR ERROR-FREE. 
**FURTHERMORE, THE LICENSOR MAKES NO WARRANTIES REGARDING THE ACCURACY, RELIABILITY, OR FACTUAL CORRECTNESS OF ANY OUTPUT GENERATED BY THE GERAR AI SYSTEM.** THE LICENSEE ACKNOWLEDGES THAT AI GENERATED CONTENT MAY CONTAIN ERRORS AND MUST BE INDEPENDENTLY VERIFIED.

### 8. LIMITATION OF LIABILITY
IN NO EVENT SHALL VERHEYDEN TECH BE LIABLE FOR ANY SPECIAL, INCIDENTAL, INDIRECT, OR CONSEQUENTIAL DAMAGES WHATSOEVER (INCLUDING, WITHOUT LIMITATION, DAMAGES FOR LOSS OF BUSINESS PROFITS, BUSINESS INTERRUPTION, LOSS OF BUSINESS INFORMATION, OR ANY OTHER PECUNIARY LOSS) ARISING OUT OF THE USE OF OR INABILITY TO USE THE SOFTWARE OR THE GERAR AI SYSTEM, EVEN IF VERHEYDEN TECH HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
