This document explains the current legal status of the CeloHT project. It is intended to provide transparency for contributors, users, partners, grant providers, and the broader community.
This document is for informational purposes only and does not constitute legal advice.
CeloHT is currently an independent, open-source, community-driven initiative.
At the time of this document's publication, CeloHT operates as a collaborative project and is not presented as a publicly traded company or financial institution.

CeloHT follows a transparent governance model.
Community participation, public discussions, documented decision-making, and accountability are core principles of the project.

CeloHT operates independently.
No external organization automatically controls the project's governance, technical direction, treasury, or community unless explicitly approved through the governance process.
The software, documentation, and educational resources developed by CeloHT are released under the Apache License, Version 2.0 unless otherwise specified.
Project contributors retain ownership of their original work while licensing contributions under the applicable project license.
Project names, logos, and branding may be protected separately under applicable intellectual property laws.
CeloHT may receive funding through:
- Community donations
- Sponsorships
- Grants
- Public goods funding
- Ecosystem support programs
- Educational partnerships
Funding does not provide governance control, ownership, or exclusive rights over the project.
CeloHT is not an investment vehicle.
Participation in the community should not be interpreted as purchasing securities, investment contracts, or guaranteed financial returns.
CeloHT may utilize blockchain technologies and digital assets to support its educational and operational activities.
Use of blockchain networks remains subject to applicable laws and user responsibility.
CeloHT seeks to operate in accordance with applicable laws and regulations wherever the project conducts activities.
Community members remain responsible for complying with the laws applicable to their own jurisdictions.
CeloHT may collaborate with:
- Educational institutions
- Non-profit organizations
- Open-source communities
- Technology companies
- Public goods initiatives
- Environmental organizations
Partnerships do not transfer ownership or governance authority unless formally approved by the community.
CeloHT is committed to publishing information regarding:

- Major project decisions
- Public reports
Transparency strengthens community trust and accountability.
Collection and processing of personal information should follow the project's Privacy Policy and applicable data protection laws.
To the fullest extent permitted by applicable law, CeloHT software, documentation, educational materials, and community resources are provided "AS IS", without warranties or guarantees of any kind.
As the project grows, CeloHT may establish or work with an appropriate legal entity to support:
- Grant administration
- Partnerships
- Asset management
- Compliance
- Long-term sustainability
Any significant legal changes will be communicated publicly through official project channels.
